These Terms and Conditions (“Terms”) govern the purchase and use of services, programmes, courses, coaching and digital resources provided by Louise Houghton (“Louise”, “we”, “us” or “our”) through louisehoughton.com and associated platforms.

By purchasing or participating in any of our Services, you confirm that you have read and agree to these Terms.

Nothing in these Terms affects any statutory rights you may have as a consumer.

1. OUR SERVICES

Louise provides services including:

  • Shine in Your Spotlight and other live or recorded courses and programmes

  • Group coaching and training

  • One-to-one coaching

  • Public speaking, presentation and communication training

  • Workshops and masterclasses

  • Digital resources, recordings, guides, worksheets and other course materials

  • Other services described on louisehoughton.com or agreed separately with a client

The precise content, dates, duration, format, price and inclusions of each Service will be described on the relevant sales page, booking page, proposal or written agreement.

Unless otherwise agreed, services may be delivered online using third-party platforms such as Zoom or other appropriate technology.

2. COACHING AND TRAINING DISCLAIMER

Louise's coaching, public speaking training and educational programmes are intended to support personal and professional development.

They are not a substitute for medical, psychological, therapeutic, financial, legal or other regulated professional advice.

While Louise will provide training, guidance, techniques and resources based on her professional experience, no particular personal, professional, financial or business outcome is guaranteed.

Results vary between individuals and depend on factors including participation, preparation, practice, experience and individual circumstances.

Testimonials and examples used on our website, emails or social media describe individual experiences and should not be interpreted as guarantees that another participant will achieve the same result.

3. SHINE IN YOUR SPOTLIGHT

Shine in Your Spotlight (“SIYS”) is a live, small-group public speaking programme.

The programme may include live online sessions, exercises, course materials, downloadable resources, recordings, guest contributors and additional bonus content.

Places may be limited to a specified number of participants. For the October 2026 programme, the maximum cohort size is 20 participants.

Your place is personal to you and may not be transferred to another person without Louise's prior written agreement.

4. LIVE SESSIONS AND RECORDINGS

Participants are encouraged to attend live sessions wherever possible.

If you are unable to attend a live SIYS session, a recording of the session will be made available.

Access to recordings and other course resources will remain available for the period communicated to participants as part of the programme.

Louise cannot guarantee that every contribution made by individual participants will appear in a recording. Technical issues outside Louise's reasonable control may also occasionally affect recordings.

Participants must not make their own audio or video recordings of group sessions without Louise's prior written permission and, where applicable, the consent of other participants.

5. GROUP CONFIDENTIALITY

SIYS and other group programmes are intended to provide a supportive environment in which participants may discuss their experiences, businesses, challenges and speaking goals.

By participating in a group programme, you agree to respect the privacy and confidentiality of other participants.

You must not share, publish, reproduce or disclose personal, confidential or commercially sensitive information shared by another participant outside the programme without their express permission.

This obligation continues after the programme has ended.

Serious breaches of another participant's privacy or confidentiality may result in removal from the programme.

6. GUEST EXPERTS AND CONTRIBUTORS

From time to time, Louise may invite guest experts, speakers or contributors to participate in a course or programme.

The identity of guest contributors may change where circumstances outside Louise's reasonable control make this necessary.

The involvement of a particular guest contributor does not create a separate contractual relationship between that contributor and the participant.

Any materials provided by a guest expert remain subject to the intellectual property rights of their respective owner.

7. INTELLECTUAL PROPERTY

Unless otherwise stated, all course and coaching materials supplied by Louise remain the intellectual property of Louise Houghton or the relevant licensor.

This includes, without limitation:

  • course frameworks and methodologies

  • worksheets and exercises

  • presentation materials

  • videos and recordings

  • written guides

  • templates

  • training materials

  • digital downloads

  • audio resources

  • bonus materials

  • website and course content

Materials are supplied for your own personal or internal professional development.

Unless Louise gives prior written permission, you must not:

  • copy or reproduce course materials for distribution

  • share course access or materials with another person

  • sell or commercially exploit any course material

  • incorporate Louise's materials into your own course, training or product

  • publish course recordings or materials online

  • record live sessions

  • remove copyright or branding from materials

Nothing in these Terms transfers ownership of Louise's intellectual property to you.

8. PAYMENTS

Prices will be displayed on the relevant sales or booking page.

Payment may be available either:

  • in full; or

  • through an agreed instalment plan.

Where you choose an instalment plan, you are committing to payment of the full programme price, not purchasing individual sessions separately.

Payments will be collected according to the schedule displayed and agreed at checkout.

If an instalment payment fails, we may contact you to arrange payment and may temporarily suspend access to programme materials until the account is brought up to date.

Choosing not to attend or participate does not, by itself, cancel an agreed instalment plan once any applicable statutory cancellation rights have expired.

9. SHINE IN YOUR SPOTLIGHT CANCELLATION AND REFUND POLICY

Shine in Your Spotlight is an intensive, small-group programme with a limited number of places.

Louise prepares the programme, materials and delivery around the confirmed cohort and reserves a place specifically for each participant.

For that reason, once any applicable statutory cancellation period has expired, SIYS bookings are non-refundable.

If you decide not to attend the programme or stop participating after that point:

  • no discretionary refund will normally be provided;

  • non-attendance does not create an entitlement to a refund;

  • missed live sessions can be accessed through the recordings provided;

  • where you are paying by instalments, the remaining agreed instalments continue to be payable.

A place cannot ordinarily be transferred or deferred to another programme without Louise's prior written agreement.

Nothing in this section removes or limits any cancellation or refund rights that you have by law.

10. UK CONSUMER CANCELLATION RIGHTS

If you purchase as a consumer online or otherwise enter into a qualifying distance contract, you may have a statutory right to cancel your contract within 14 days after the day the contract is entered into, without giving a reason. Legislation.gov.uk

To exercise a statutory right to cancel, you should send a clear statement of your decision to:

Where you ask Louise to begin providing a service during the statutory cancellation period, you expressly request that performance begins before that cancellation period has expired.

If you subsequently exercise a statutory right to cancel after services have begun at your express request, you may be required to pay an amount proportionate to the services already supplied up to the time you communicate your cancellation, where permitted by law. Legislation.gov.uk

Where digital content is supplied immediately during a statutory cancellation period, separate rules may apply. Where required, you will be asked to give your express consent to immediate supply and acknowledge the effect this has on your statutory cancellation rights. Legislation.gov.uk

Nothing in these Terms limits rights that cannot legally be excluded.

11. ONE-TO-ONE COACHING CANCELLATIONS

One-to-one coaching sessions may be cancelled or rescheduled by providing at least 48 hours' notice.

Where at least 48 hours' notice is provided, Louise will make reasonable efforts to reschedule the session subject to availability.

Where less than 48 hours' notice is provided, the session may be treated as used and may not be refunded or rescheduled.

If you fail to attend a booked session without notice, the session will normally be treated as used.

This policy does not affect statutory rights that cannot legally be excluded.

12. CANCELLATION OR RESCHEDULING BY LOUISE

Occasionally, illness, emergency, technical problems or circumstances outside Louise's reasonable control may require a live session or coaching appointment to be changed.

Where this happens, Louise will give as much notice as reasonably possible and will normally:

  • reschedule the session;

  • provide an alternative delivery arrangement where appropriate; or

  • make another reasonable arrangement to provide the affected part of the Service.

A reasonable change to the timing or delivery of a session does not automatically entitle a participant to a refund.

If Louise is unable to provide a material part of a purchased Service and cannot reasonably provide an alternative, any refund or other remedy will be determined in accordance with the circumstances and applicable law.

13. PARTICIPANT CONDUCT

Participants are expected to behave respectfully and professionally.

You must not:

  • harass, intimidate or discriminate against another participant;

  • disclose another participant's confidential information;

  • record sessions without permission;

  • use the programme primarily to solicit or sell to other participants without permission;

  • deliberately disrupt sessions;

  • share programme access with another person;

  • use course materials unlawfully or in breach of these Terms.

Louise reserves the right to remove a participant whose behaviour materially breaches these Terms or seriously affects the experience, privacy or safety of other participants.

Where removal results from a serious breach by the participant, a refund will not normally be provided, subject always to applicable law.

14. TECHNOLOGY

Online services depend on technology outside Louise's direct control.

You are responsible for ensuring that you have:

  • a suitable internet connection;

  • a suitable device;

  • any necessary software;

  • an appropriate environment from which to participate.

Louise will take reasonable steps to resolve technical issues under her control but cannot guarantee uninterrupted access to third-party platforms or internet services.

15. DIGITAL MATERIALS AND BONUSES

Some Services may include downloadable guides, videos, audio recordings, worksheets, templates or other digital resources.

These resources are provided for the purchaser's personal use only and remain subject to the intellectual property provisions in these Terms.

Bonus resources may be added, removed, substituted or updated where reasonably necessary, provided that doing so does not materially reduce the core Service purchased.

16. TESTIMONIALS AND FEEDBACK

If you voluntarily provide Louise with a testimonial, review or feedback, Louise may ask for permission to use it in marketing, on the website, in social media or in other promotional materials.

Where a testimonial identifies you personally, Louise will seek permission before publishing it.

Testimonials must reflect the genuine experience of the person providing them.

17. PRIVACY AND PERSONAL DATA

Personal information will be handled in accordance with Louise's Privacy Policy and applicable data protection legislation.

Information may be processed using third-party service providers required to operate the website, booking systems, email communications, payments, video calls and course delivery.

Where a group session is recorded, participants will be informed that recording is taking place.

Participants should be mindful of information they choose to share during a recorded group session.

18. THIRD-PARTY SERVICES

Louise may use third-party platforms and services for payment processing, email, video conferencing, website hosting, course delivery and other business functions.

Use of those platforms may also be subject to the provider's own terms and privacy policies.

Louise is not responsible for an outage or failure of a third-party service that is outside her reasonable control, although reasonable steps will be taken to minimise disruption to participants.

19. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to those exceptions and to applicable consumer law, Louise will not be responsible for indirect or consequential losses arising from participation in the Services, including loss of business opportunity, revenue or profit.

Louise is not responsible for decisions you make as a result of participating in coaching or training.

Where permitted by law, Louise's total liability arising from a particular Service will not exceed the amount paid by you for that Service.

Nothing in these Terms limits any rights or remedies available to a consumer which cannot lawfully be excluded.

20. CHANGES TO PROGRAMMES

Louise may occasionally make reasonable changes to programme content, scheduling, guest contributors, materials or delivery methods where necessary.

Any changes will be made with the intention of maintaining the overall nature and quality of the programme.

If a proposed change would fundamentally alter a Service you have already purchased, your statutory rights will remain unaffected.

21. WEBSITE INFORMATION

Louise takes reasonable care to ensure that information on louisehoughton.com is accurate.

However, minor errors or omissions may occasionally occur and may be corrected without notice.

The programme description and price displayed or expressly agreed at the time of purchase will form part of your agreement with Louise.

Louise will aim to deal with concerns promptly and fairly and will make reasonable efforts to resolve the matter directly with you.

23. GOVERNING LAW

If Louise confirms that the business is established in England and Wales, this section can state:

These Terms are governed by the laws of England and Wales. Where you are a consumer, nothing in this clause deprives you of any mandatory consumer protection available to you under applicable law.

I would not publish an “exclusive jurisdiction” or arbitration clause yet until Louise's actual business status/location has been confirmed.

24. CHANGES TO THESE TERMS

Louise may update these Terms from time to time.

The date at the top of the page will show when they were last updated.

Changes will not retrospectively remove contractual or statutory rights relating to a purchase already made.
